1. INTRODUCTION AND SCOPE

1.1 Parties and Applicability

These Terms of Service („Terms„) constitute a binding legal agreement between:

By downloading, installing, purchasing, subscribing to, or using the Plugin, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the legal authority to bind that entity to these Terms. If you do not agree to these Terms or lack such authority, you must immediately cease all use of the Services and uninstall the Plugin.

1.2 Business-to-Business Nature

These Terms are designed exclusively for business-to-business (B2B) transactions. By accepting these Terms, you expressly confirm that:

a) You are acting for purposes relating to your trade, business, craft, or profession;
b) You are not acting as a consumer within the meaning of § 13 BGB (German Civil Code);
c) You acknowledge that consumer rights under EU consumer protection law (including the Consumer Rights Directive 2011/83/EU) do not apply to this contract;
d) You specifically waive any right of withdrawal (Widerrufsrecht) that might otherwise apply under §§ 312g, 355 BGB.

Important Notice for Individual Users: If you cannot confirm the above statements because you are purchasing for personal, non-commercial use, these Terms do not apply to you. In such cases, please contact us via https://wootools.io/contact before purchase, as different terms and consumer rights will apply.

1.3 Modifications to Terms

We reserve the right to modify, amend, or update these Terms at any time to reflect changes in legal or regulatory requirements, improvements to our Services, new features, or changes in business practices.

Notice of Changes: When material changes are made, we will provide reasonable advance notice via email to your registered email address and by posting a notice on our website at wootools.io.

Your Acceptance: Your continued use of the Services after the effective date of any changes constitutes your binding acceptance of the updated Terms. If you do not agree with any modifications, you must discontinue use of the Services immediately, uninstall the Plugin from all installations, and cancel your Subscription.

1.4 Language and Interpretation

These Terms are drafted in English, which shall be the authoritative and controlling version. We may provide translations in other languages for your convenience, but in the event of any conflict or ambiguity between the English version and any translation, the English version shall prevail and be legally binding.

The following terms have the specific meanings set forth below when used in these Terms:

Confidential InformationAny non-public information disclosed by either party that is marked as confidential or would reasonably be considered confidential, including but not limited to business plans, technical data, customer lists, pricing information, and trade secrets.
DocumentationAll user guides, technical documentation, FAQs, tutorials, and other materials provided by Wootools.io relating to the Plugin.
Intellectual Property RightsAll patents, copyrights, trade secrets, trademarks, service marks, trade names, database rights, design rights, and any other intellectual property rights, whether registered or unregistered, anywhere in the world.
Licence KeyA unique alphanumeric code provided to you upon purchase that activates and validates your right to use the Plugin.
Merchant of Record (MoR)Lemon Squeezy LLC and its affiliates („Lemon Squeezy„), the authorized payment processor and reseller that handles all payment processing, invoicing, tax collection, and refund management for paid Subscriptions.
Personal DataAny information relating to an identified or identifiable natural person as defined under the GDPR and other applicable data protection laws.
PluginThe „AI Mockup Maker“ WordPress plugin software, including all updates, upgrades, bug fixes, and modifications thereto provided by Wootools.io.
ServicesThe Plugin, the Wootools.io website, Documentation, customer support, trial access, updates, and any other services or materials provided by Wootools.io.
SubscriptionA paid licence granted on an annual renewable basis that permits you to use the Plugin in accordance with these Terms.
Subscription PeriodThe twelve (12) month period beginning on the date your Subscription is activated (either after trial expiration or upon direct purchase) and each successive twelve (12) month renewal period thereafter.
UpdateAny bug fix, patch, minor version release, or other modification to the Plugin that we make available during your active Subscription Period.
User ContentAny data, content, materials, images, text, or other information that you upload, submit, transmit, or process through the Plugin.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Business Use Only

The Services are offered exclusively to business customers for commercial, business, or professional purposes. By accepting these Terms, you represent, warrant, and covenant that:

a) You are purchasing and using the Plugin solely for purposes related to your trade, business, craft, or profession;
b) You are not acting as a consumer;
c) You understand that EU consumer protection laws (including withdrawal rights) do not apply to this B2B transaction;
d) You have the financial and technical capacity to fulfill your obligations under these Terms.

3.2 Age and Legal Capacity

You represent and warrant that:

a) Provide accurate, complete, and current information, including your legal business name, contact details, VAT identification number (if applicable), and valid payment information;

d) Accept responsibility for all activities that occur under your account.

You acknowledge that providing false or misleading information may result in immediate termination of your account and licence without refund.

3.4 Account Security

You are solely responsible for:

3.5 One Account Per Entity

Each legal entity or individual business operator may maintain only one (1) account unless expressly authorized in writing by Wootools.io. Creating multiple accounts to circumvent these Terms or to abuse trial periods is strictly prohibited and will result in immediate termination of all accounts without refund.


4. LICENCE GRANT AND RESTRICTIONS

4.1 Licence Grant

Subject to your full compliance with these Terms and payment of all applicable fees, Wootools.io grants you a limited, revocable, worldwide, non-exclusive, non-transferable, non-sublicensable, and non-perpetual licence to:

a) Download, install, and use the Plugin on WordPress websites that you own, operate, or control;
b) Access and use the Documentation;
c) Receive and install Updates made available during your active Subscription Period;
d) Access customer support in accordance with our support policies.

This licence does not transfer any ownership rights in the Plugin. All rights not expressly granted herein are reserved by Wootools.io.

4.2 Licence Scope and Limitations

Unless you have purchased a multi-site licence or received express written permission:

a) Each Subscription permits installation and use of the Plugin on one (1) production WordPress website and one (1) development/staging environment;
b) You may not use a single Licence Key on multiple production websites;
c) If you wish to use the Plugin on additional websites, you must purchase additional Subscriptions.

4.3 Prohibited Uses and Restrictions

You expressly agree that you shall NOT:

a) Distribution and Resale:

f) Misuse of API and Services:

Violation of any of these restrictions will result in immediate termination of your licence without refund and may subject you to legal action.

4.4 Licence Key Management

Each Licence Key is personal to you and your authorized installations. You agree to:

a) Keep your Licence Key confidential and secure;
b) Use each Licence Key only for the number and type of installations covered by your Subscription;
c) Generate a new Licence Key if you suspect unauthorized use or exposure;
d) Accept that we may deactivate Licence Keys that are used in violation of these Terms.

4.5 Updates and Maintenance

During your active Subscription Period:

a) The Plugin is designed to work with specific versions of WordPress, PHP, and related technologies as specified in the Documentation;
b) We do not guarantee compatibility with all third-party plugins, themes, hosting environments, or custom code;
c) Compatibility issues may arise, particularly after major WordPress or PHP updates;
d) You are responsible for maintaining a compatible environment and testing the Plugin in your specific setup before deployment;
e) We may discontinue support for older WordPress or PHP versions with reasonable notice.

4.7 No Perpetual Licence

You expressly acknowledge that this is NOT a perpetual licence. Upon expiration or termination of your Subscription:


5. THIRD-PARTY SERVICES AND DEPENDENCIES

5.1 Kie.ai API (Critical Dependency)

The Plugin’s core functionality depends entirely on the third-party API provided by kie.ai. By using the Plugin, you acknowledge and agree that:

a) Your Responsibility: You must independently obtain, maintain, and pay for a valid API token directly from kie.ai. Wootools.io is not affiliated with kie.ai and does not provide, control, or guarantee the API.

b) Kie.ai Terms Apply: Your use of the kie.ai API is governed by kie.ai’s own terms of service, privacy policy, and acceptable use policies. You are solely responsible for compliance with kie.ai’s terms.

c) No Warranty of API Availability: Wootools.io makes absolutely no representations or warranties regarding:

d) API Changes and Discontinuation: If kie.ai modifies its API, changes its pricing, restricts access, or discontinues its services, the Plugin may cease to function partially or entirely. You acknowledge that this is an inherent risk of using third-party-dependent software.

5.2 Lemon Squeezy (Merchant of Record)

All payment processing, invoicing, tax collection, and refund management is handled exclusively by Lemon Squeezy LLC („Lemon Squeezy“), our Merchant of Record.

a) Separate Contract: When you purchase a Subscription, you enter into a separate contract with Lemon Squeezy for payment processing. Lemon Squeezy’s Terms of Service, Privacy Policy, and other policies govern your relationship with Lemon Squeezy.

b) Lemon Squeezy’s Responsibilities:

c) No Storage of Payment Data: Wootools.io does NOT store, process, or have access to your complete payment card details. All payment information is handled directly by Lemon Squeezy.

d) Billing Disputes: Any disputes regarding billing, charges, or payment issues should be directed to Lemon Squeezy’s customer support in the first instance. We will assist with technical matters related to Subscription activation where reasonably possible.

e) Independence of Contracts: Termination or cancellation of your payment processing contract with Lemon Squeezy does NOT automatically terminate your licence agreement with Wootools.io, and vice versa.

f) Tax Responsibility: While Lemon Squeezy collects applicable taxes, you remain responsible for:

Our website, Documentation, or the Plugin interface may contain links to third-party websites, resources, or services. You acknowledge that:

a) We do not control, monitor, endorse, or assume responsibility for third-party content;
b) Accessing third-party resources is entirely at your own risk;
c) You should review third-party terms of service and privacy policies;
d) We are not responsible for the availability, accuracy, or legality of third-party content;
e) We are not liable for any damages arising from your use of third-party websites or services.

5.5 Changes to Third-Party Dependencies

If any critical third-party service (including kie.ai or Lemon Squeezy) becomes unavailable, changes materially, or discontinues service:

a) We will use commercially reasonable efforts to notify you and, where feasible, provide alternative solutions or migration paths;
b) We may need to modify or discontinue the Plugin if critical dependencies are no longer available;
c) You acknowledge that such changes do not entitle you to a refund beyond what is expressly stated in Section 6.7.


6. SUBSCRIPTION, PRICING, AND PAYMENT TERMS

6.1 Free Trial Period

We may offer a seven (7) day free trial of the Plugin to allow you to evaluate its features and compatibility with your environment.

Trial Terms: a) During the trial, you have access to Plugin features without charge;
b) No payment method is required to start the trial;
c) Trial availability is subject to our sole discretion and may be modified, limited, or discontinued at any time;
d) You may use only one (1) trial per business entity;
e) Creating multiple accounts to abuse trial access is prohibited and will result in immediate termination.

Annual Subscription: Paid plans are billed on an annual basis. Current pricing is displayed on our website at wootools.io/pricing and in the Lemon Squeezy checkout process.

Pricing: Your renewal price may be subject to change as set forth in Section 6.4.

6.4 Price Changes

We reserve the right to modify Subscription pricing at any time. When prices change:

a) Notice: We will provide reasonable advance notice via email and website announcement;
b) Effect on Existing Customers: Price changes will generally take effect at your next renewal date;
c) Your Options: If you do not agree to a price increase, you may cancel your Subscription before the new price takes effect (see Section 6.6);
d) Acceptance: Continuing your Subscription after receiving notice of price changes constitutes acceptance of the new pricing.

6.5 Taxes and VAT

Lemon Squeezy’s Role: Lemon Squeezy will calculate, collect, and remit applicable taxes based on:

Your Responsibilities: a) Provide accurate tax information, including your VAT ID if you are a VAT-registered business;
b) Understand that prices displayed may be exclusive of taxes;
c) Pay any additional taxes or government levies not collected by Lemon Squeezy;
d) Comply with your local tax reporting and documentation requirements.

Reverse Charge: For B2B transactions within the EU where both parties are VAT-registered, the reverse charge mechanism may apply. Ensure your VAT ID is correctly provided.

6.6 Cancellation by You

You may cancel your Subscription at any time by:

Effect of Cancellation: a) Your cancellation takes effect at the end of your current Subscription Period;
b) You retain access to the Plugin, Updates, and support until the end of the paid period;
c) Your Subscription will NOT automatically renew;
d) No refund is provided for the remaining unused portion of your current Subscription Period (see Section 6.7 for refund policy).

6.7 Refund Policy

Because we offer a free trial period and deliver digital content immediately upon purchase, we generally do not provide refunds once a paid Subscription has commenced.

Exceptions:

a) Material Technical Defects: If you experience a material technical defect that prevents the Plugin from functioning substantially as described in the Documentation, and we are unable to resolve the issue within a reasonable timeframe after receiving your detailed report, you may request a pro-rated refund for the unused portion of your Subscription.

b) Billing Errors: If you were charged incorrectly due to a technical error by us or Lemon Squeezy, we will work to issue a refund or correction.

c) Mandatory Legal Rights: Nothing in this refund policy limits refund rights that cannot be excluded under applicable mandatory law.

6.8 Suspension for Non-Payment

If payment for a Subscription renewal fails:

a) Lemon Squeezy will attempt to process payment using your payment method on file;
b) You will receive email notification of payment failure in accordance with Lemon Squeezy’s notification policies;
c) We may suspend your access to Updates and support until payment is resolved;
d) If payment is not resolved within a reasonable period (typically thirty days), your Subscription and licence may be terminated.


7. INTELLECTUAL PROPERTY RIGHTS

7.1 Ownership of Plugin and Services

All right, title, and interest in and to the Plugin, Services, Documentation, website, and all related intellectual property (including but not limited to copyrights, patents, trademarks, trade secrets, trade names, and database rights) are and shall remain the exclusive property of Wootools.io and our licensors.

These Terms do NOT transfer ownership of any Intellectual Property Rights to you. You receive only the limited licence expressly granted in Section 4.

7.2 Trademarks

„Wootools.io,“ „AI Mockup Maker,“ our logos, and any other trademarks or service marks used in connection with the Services are trademarks or registered trademarks of Wootools.io or our licensors.

You may NOT:

If you provide any comments, suggestions, ideas, feedback, bug reports, or recommendations regarding the Plugin or Services („Feedback„), you hereby grant Wootools.io a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable, and transferable right and licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and commercialize such Feedback in any manner without any obligation of compensation, attribution, or acknowledgment to you.

You represent that your Feedback does not violate any third-party rights.

7.4 User Content – Your Ownership and Responsibilities

You retain all ownership rights in User Content (data, images, text, etc.) that you upload, submit, or process through the Plugin.

Your Representations and Warranties: You represent and warrant that: a) You own or have all necessary rights and licences to use and upload your User Content;
b) Your User Content does not infringe any third-party Intellectual Property Rights, privacy rights, or other rights;
c) Your User Content does not violate any applicable laws or regulations;
d) Your User Content does not contain malware, viruses, or harmful code.

Limited Licence to Us: You grant Wootools.io a limited, non-exclusive, worldwide, royalty-free licence to host, store, and process your User Content solely as necessary to provide the Services, including transmitting your User Content to kie.ai for AI mockup generation and making temporary copies for backup and technical purposes.

This licence terminates when you delete User Content or when your Subscription ends, except for archival or backup copies that may persist for a reasonable technical period.

7.5 Prohibited User Content

You must NOT upload or submit User Content that:

7.6 Copyright Infringement Claims

We respect Intellectual Property Rights and expect our users to do the same. If you believe that content available through the Services infringes your copyright, please notify us via https://wootools.io/contact with the information required under applicable copyright law, including a description of the copyrighted work, location of the allegedly infringing material, your contact information, and a good faith statement regarding unauthorized use.


8. DATA PROTECTION AND PRIVACY

e) Special Categories: You must NOT use the Services to process special categories of Personal Data (health, biometric, genetic data, etc.) or criminal conviction data unless you have established an appropriate legal basis and implemented enhanced safeguards as required by applicable law;

f) Third-Party Data: If you provide Personal Data of third parties, you represent that you have obtained all necessary consents and provided required notices;

g) Compliance: Ensuring your use of the Services complies with all applicable data protection laws in your jurisdiction.

We may suspend your access if we reasonably believe your use violates data protection laws.

8.4 International Data Transfers

Your Personal Data may be transferred to, stored, and processed in locations outside the European Economic Area (EEA), including the United States and other jurisdictions where our service providers (including Lemon Squeezy and kie.ai) operate.

Safeguards: When we transfer Personal Data outside the EEA, we implement appropriate safeguards in accordance with applicable law, which may include EU Standard Contractual Clauses, adequacy decisions by the European Commission, or other legally recognized transfer mechanisms.

Your Consent: By using the Services, you acknowledge and consent to these international transfers as necessary for providing the Services.

8.5 Data Processing Agreement (DPA)

This Section 8.5 constitutes a Data Processing Agreement (DPA) for purposes of GDPR Article 28 when Wootools.io processes Personal Data on your behalf as Data Processor.

8.5.1 Scope and Purpose

Wootools.io shall:

a) Process Personal Data only on your documented instructions (these Terms constitute such instructions), unless required by applicable law;

b) Ensure that persons authorized to process Personal Data are committed to confidentiality;

c) Implement technical and organizational security measures appropriate to the risk in accordance with GDPR Article 32 and applicable law;

d) Engage Sub-processors only with your general authorization as set forth in Section 8.5.3 and pursuant to contracts imposing data protection obligations substantially equivalent to those in this DPA;

e) Assist you, where reasonably possible and taking into account the nature of processing, in responding to data subject rights requests;

f) Assist you in ensuring compliance with applicable data protection obligations, taking into account the nature of processing and information available to us;

g) At your choice, delete or return Personal Data at the end of the provision of services, except where retention is required by applicable law;

h) Make available information reasonably necessary to demonstrate compliance with this DPA and cooperate with reasonable audit requests, subject to confidentiality protections and reasonable advance notice.

8.5.3 Sub-processors

You hereby provide general authorization for Wootools.io to engage Sub-processors to assist in providing the Services. Current Sub-processors include kie.ai (AI mockup generation) and Lemon Squeezy (payment processing).

An up-to-date list of Sub-processors and their locations is available upon request at https://wootools.io/subprocessors or via https://wootools.io/contact.

Sub-processor Changes: We will provide reasonable advance notice before adding or replacing any material Sub-processor. If you object on reasonable data protection grounds, you may terminate your Subscription.

8.5.4 Security Measures

We implement technical and organizational security measures appropriate to the risk as required by GDPR Article 32, which may include encryption, access controls, regular security assessments, logging and monitoring, and incident response procedures. Specific security measures may evolve over time in accordance with industry best practices and legal requirements.

8.5.5 Data Breach Notification

In the event of a Personal Data breach affecting your data, we shall notify you without undue delay after becoming aware of the breach, to the extent required by applicable law and to the extent we have sufficient information to do so. We will provide available information about the breach to assist you in meeting your own notification obligations.

You acknowledge that timely breach reporting may depend on our Sub-processors notifying us.

8.5.6 Audits

Subject to reasonable advance notice, confidentiality protections, and limitations to avoid disruption of our operations, you may conduct audits or inspections to verify our compliance with this DPA, or we may provide audit reports, certifications, or third-party assessments as an alternative to on-site audits.

8.6 Your Privacy Rights

For information about your privacy rights under applicable law (including GDPR rights of access, rectification, erasure, restriction, portability, objection, and withdrawal of consent), please refer to our Privacy Policy or contact us via https://wootools.io/privacy-request.

8.7 Cookies and Tracking

Our website may use cookies and similar technologies. See our Privacy Policy and Cookie Policy for details. The Plugin itself does not use cookies for tracking purposes.


9. WARRANTIES AND DISCLAIMERS

9.1 „AS IS“ and „AS AVAILABLE“ Provision

THE SERVICES ARE PROVIDED „AS IS“ AND „AS AVAILABLE“ WITHOUT ANY REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

To the maximum extent permitted by applicable law, Wootools.io disclaims all warranties, including but not limited to:

a) Implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment;

b) Warranties arising from course of dealing, course of performance, or usage of trade;

c) Any warranty that the Services will be uninterrupted, error-free, secure, or virus-free;

d) Any warranty regarding the accuracy, reliability, quality, suitability, or availability of the Services;

e) Any warranty that the Plugin will be compatible with all third-party plugins, themes, hosting environments, or custom configurations.

9.2 No Warranty for Third-Party Services

We make absolutely no representations or warranties regarding:

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

a) Use of the Services is at your sole risk;
b) You are responsible for evaluating and testing the Plugin in your environment before production deployment;
c) You should maintain regular backups of your website and data;
d) Technical issues, downtime, compatibility problems, or malfunctions may occur;
e) We cannot guarantee that the Services will meet your specific needs or operate without interruption;
f) No advice or information obtained from us or through the Services creates any warranty not expressly stated in these Terms.

9.6 Mandatory Statutory Rights

Nothing in these Terms excludes or limits warranties or conditions that cannot be excluded or limited under applicable mandatory law.


10. LIMITATION OF LIABILITY

10.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WOOTOOLS.IO (INCLUDING ITS OWNERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS) SHALL NOT BE LIABLE FOR ANY:

a) Indirect, incidental, consequential, special, exemplary, or punitive damages;
b) Loss of profits, revenue, business opportunities, or anticipated savings;
c) Loss of data, goodwill, or reputation;
d) Business interruption or downtime;
e) Cost of substitute products or services;
f) Failure to realize expected savings or benefits;

ARISING OUT OF OR IN CONNECTION WITH:

THIS EXCLUSION APPLIES REGARDLESS OF:

10.2 Cap on Total Liability

IF, NOTWITHSTANDING THE ABOVE EXCLUSIONS, WOOTOOLS.IO IS FOUND LIABLE TO YOU UNDER ANY THEORY, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU ACTUALLY PAID TO US (VIA LEMON SQUEEZY) DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

If you have not paid any fees (e.g., during a trial period), our total liability shall not exceed one hundred euros (€100).

This limitation applies collectively to Wootools.io, Konstantin Botschmanowski, and all employees, contractors, and suppliers.

10.3 Mandatory Liability Under German Law

NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY FOR:

a) Death or personal injury caused by our negligence or willful misconduct;
b) Fraud or fraudulent misrepresentation;
c) Gross negligence (grobe Fahrlässigkeit) or willful misconduct (Vorsatz) by Wootools.io or our legal representatives or vicarious agents;
d) Breach of essential contractual obligations (wesentliche Vertragspflichten / Kardinalpflichten) caused by slight negligence – in such cases, liability is limited to foreseeable, typically occurring damages;
e) Liability under the German Product Liability Act (Produkthaftungsgesetz);
f) Any other liability that cannot be excluded or limited under mandatory applicable law.

„Essential contractual obligations“ are fundamental duties whose fulfillment is necessary for proper contract performance and on whose compliance you may reasonably rely.

10.4 Allocation of Risk

The exclusions and limitations in this Section 10 reflect a reasonable and agreed allocation of risk between you and Wootools.io. The pricing of the Services is based on this allocation of risk and the limitations of liability. These limitations will apply even if any limited remedy fails of its essential purpose.

10.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is due to causes beyond our reasonable control, including but not limited to:

During a force majeure event, our obligations are suspended for the duration of the event. If the event continues for more than sixty (60) days, either party may terminate upon written notice.


11. INDEMNIFICATION

11.1 Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless Wootools.io, Konstantin Botschmanowski, and our affiliates, employees, contractors, agents, and suppliers (collectively, „Indemnified Parties“) from and against any and all third-party claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys‘ fees) arising out of or relating to:

a) Your use or misuse of the Services, including any violation of these Terms;

b) Your User Content, including claims that it infringes or violates any third-party rights;

c) Your violation of any applicable laws or regulations;

d) Your breach of any representations or warranties made in these Terms;

e) Your negligence or willful misconduct;

f) Any claims by third parties arising from your use of AI-generated mockups created using the Plugin;

g) Your violation of third-party rights, including Intellectual Property Rights, privacy rights, or contractual rights;

h) Any claims related to individuals who use the Plugin under your account.

11.2 Indemnification Procedure

Your indemnification obligations are subject to:

a) Notice: We will provide you with prompt written notice of any claim subject to indemnification (failure to provide prompt notice does not relieve you except to the extent you are materially prejudiced);

b) Control: We reserve the right to assume exclusive control of the defense and settlement of any claim, at your expense. If we assume control, you shall cooperate fully;

c) Your Defense: If we do not assume control, you may defend the claim with counsel reasonably acceptable to us, provided that you may not settle any claim without our prior written consent if the settlement imposes obligations on us, includes any admission of fault by us, or does not include a full release of Indemnified Parties;

d) Cooperation: You agree to cooperate with our defense efforts and provide all reasonably requested information and assistance.

11.3 Survival

Your indemnification obligations survive termination or expiration of these Terms.


12. CONFIDENTIALITY

12.1 Definition of Confidential Information

Confidential Information“ means non-public information disclosed by either party that is marked as confidential or would reasonably be considered confidential given its nature and circumstances of disclosure, including the Plugin source code, business plans, financial information, customer lists, pricing information, trade secrets, and unpublished features.

Confidential Information does NOT include information that: a) Was publicly known at disclosure or becomes public through no breach;
b) Was rightfully in possession before disclosure;
c) Is received from a third party without confidentiality obligations;
d) Is independently developed without reference to Confidential Information;
e) Must be disclosed by law (with prompt notice where permitted).

12.2 Confidentiality Obligations

The receiving party agrees to:

Confidentiality obligations continue for five (5) years after disclosure, or for as long as the information constitutes a trade secret under applicable law, whichever is longer.


13. TERM AND TERMINATION

13.1 Term

These Terms commence when you first access, download, or use the Plugin and continue until terminated in accordance with this Section 13.

Your Subscription Period is as defined in Section 2 and continues for successive renewal periods unless cancelled.

13.2 Termination by You

You may terminate these Terms and your Subscription at any time by cancelling through your Lemon Squeezy account dashboard, uninstalling the Plugin, ceasing all use of the Services, and sending notice via https://wootools.io/contact.

Effect: Your licence terminates at the end of your current Subscription Period. No refund is provided for unused time (except as stated in Section 6.7).

13.3 Termination by Us – With Cause

We may suspend or terminate your access to the Services, without refund, if:

a) You materially breach these Terms and fail to cure within a reasonable period after receiving notice;

b) You use the Services for illegal purposes or in violation of applicable laws;

c) You repeatedly violate these Terms;

d) Your conduct poses a security risk, harms others, damages our reputation, or interferes with our operations;

e) You engage in fraudulent activity, abuse, or payment disputes;

f) We are required to terminate by court order, regulatory action, or law enforcement;

g) We reasonably believe your use violates data protection laws;

h) You upload prohibited User Content;

i) You become insolvent or enter bankruptcy proceedings.

Notice: We will provide notice via email where reasonably practicable, except where immediate termination is necessary.

13.4 Termination by Us – Without Cause

We may terminate these Terms or discontinue the Services with reasonable advance written notice (typically at least ninety days) for business reasons, including discontinuation of the Plugin, changes to our business model, or inability to maintain third-party dependencies.

Effect: If we terminate without cause, you may be entitled to a pro-rated refund for any prepaid, unused Subscription period.

13.5 Effect of Termination

Upon termination or expiration:

a) Your licence immediately terminates;
b) Your Licence Key will be deactivated;
c) You must uninstall the Plugin and cease all use;
d) We may delete your account data and User Content after a reasonable period, except as required by law;
e) You remain responsible for all fees incurred before termination;
f) Confidential Information must be returned or destroyed (subject to legal retention requirements).

13.6 Survival

The following sections survive termination: Definitions, Intellectual Property Rights, Data Protection (to necessary extent), Warranties and Disclaimers, Limitation of Liability, Indemnification, Confidentiality, Effect of Termination and Survival, Governing Law and Dispute Resolution, and General Provisions.


14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the substantive laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and German conflicts of law rules.

14.2 Jurisdiction for B2B Customers

For business customers (Kaufleute within the meaning of § 1 HGB, legal entities under public law, or special funds under public law), the exclusive place of jurisdiction for all disputes is the court having subject-matter jurisdiction at our registered office in Mönchengladbach, Germany.

We reserve the right to bring claims against you in the courts of your registered office or place of business.

14.3 Jurisdiction for Other Users

If you do not qualify as a business customer under Section 14.2, statutory provisions regarding jurisdiction apply.

14.4 Language of Proceedings

Proceedings may be conducted in German or English as agreed by the parties or determined by the court.

14.5 No Alternative Dispute Resolution

We do not participate in alternative dispute resolution procedures before consumer arbitration boards, as we offer our Services exclusively to business customers.

14.6 Injunctive Relief

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent infringement of Intellectual Property Rights, unauthorized disclosure of Confidential Information, or irreparable harm.


15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Wootools.io regarding the Services and supersede all prior agreements, proposals, representations, and communications.

15.2 Amendments

No modification or waiver of any provision shall be effective unless in writing and signed by an authorized representative of Wootools.io. Subject to Section 1.3, we may update these Terms by posting modified Terms and providing notice.

15.3 Severability

If any provision is held invalid, illegal, or unenforceable, such provision shall be limited, modified, or severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.4 Waiver

No waiver of any provision constitutes a waiver of any other provision or a continuing waiver. Our failure to enforce any right or provision shall not be deemed a waiver.

15.5 Assignment

You may not assign your rights or obligations without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets. These Terms bind and benefit the parties and their respective successors and permitted assigns.

15.6 No Third-Party Beneficiaries

These Terms are for the sole benefit of the parties and do not create third-party beneficiary rights, except that Indemnified Parties are intended beneficiaries of your indemnification obligations.

15.7 Independent Contractors

The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship.

15.8 Export Compliance

You agree to comply with all applicable export control laws and regulations. You represent that you are not located in a restricted country, listed on any government restricted party list, or prohibited from receiving the Services under applicable law. You shall not export, re-export, or transfer the Plugin to prohibited countries, entities, or persons.

15.9 Government Use

If you are a government entity, the Plugin qualifies as „commercial computer software“ under applicable procurement regulations. Government users acquire only those rights expressly granted in these Terms.

15.11 Publicity

You grant us permission to identify you as a customer and use your company name and logo in our customer lists and marketing materials, unless you object in writing via https://wootools.io/contact.

15.12 Relationship with Lemon Squeezy

Your contract with Lemon Squeezy for payment processing is separate from these Terms. These Terms govern use of the Plugin; Lemon Squeezy’s terms govern payment processing.

If you have questions or concerns about these Terms, contact us via https://wootools.io/contact. We value feedback but are not obligated to accommodate modification requests.

15.14 Headings

Headings are for convenience only and do not affect interpretation.
